Streams Charts Partner Program Terms of Use

Effective Date: March 24, 2026

Please note: The Streams Charts Partner Program is currently in its Beta phase. We are conducting a test launch of the Program and reserve the right to modify, suspend, or terminate the Program, its commission structures, and these Terms at any time to ensure optimal performance and alignment with our business goals.

1. Parties

"Streams Charts," "we," or "our" refers collectively to: (a) STREAMS CHARTS (UA Public Organization, Kyiv, Ukraine), operator of the platform at streamscharts.com; and (b) ESM.ONE INC (Delaware corporation), administrator of the Partner Program and processor of commission payments. These entities are related and act jointly for purposes of this Program.

"Partner," "you" means the individual or entity approved to participate in the Program.

"Referred Customer" means a new customer who makes an initial paid purchase of a Streams Charts subscription through your affiliate link within the Cookie Window.

2. Eligibility and Enrollment

You must be at least 18 years old, have legal capacity to enter contracts, and not be subject to U.S. or EU trade sanctions.

To join, submit an application through the partner portal. We review applications within 5-10 business days and may accept or reject any application at our sole discretion. Approval is non-transferable.

3. Promotion and Disclosure

You agree to promote Streams Charts lawfully, ethically, and in accordance with our brand guidelines. You must clearly and conspicuously disclose your affiliate relationship in all promotional content, including on websites, social media, newsletters, and video, in compliance with applicable advertising disclosure laws (including FTC guidelines for U.S. audiences and equivalent EU requirements).

You may not promote through spam or unsolicited mass communications.

4. Commissions and Payments

Commissions are calculated as 20% of the net amount (excluding taxes and fees) of the first successful subscription payment made by a Referred Customer, regardless of plan duration.

The commission is paid one time per Referred Customer and applies only to the first completed payment. Automatic renewals, recurring payments, upgrades, add-ons, or subsequent purchases do not generate additional commissions unless separately agreed in writing. There is no earnings cap. All commissions are denominated and paid in USD.

Attribution follows a last-click model. The tracking cookie is valid for 30 days from first click; clicking another affiliate's link resets attribution.

Commissions are paid monthly, no later than 30 days after the end of the calendar month in which the payment was confirmed, subject to a $50 USD minimum payout threshold. Amounts below the threshold roll over to the following month. Payments are processed by ESM.ONE INC through the method selected in your partner dashboard.

No commission is earned on: refunded, charged-back, or disputed transactions; self-referrals; transactions from accounts violating our Terms of Use; or transactions generated through fraudulent or non-compliant activity. Commissions on ineligible transactions will be reversed and, if already paid, deducted from future payments.

You are solely responsible for all taxes on commissions received. ESM.ONE INC does not act as your tax agent. Tax documentation (e.g., W-8BEN or W-9) may be required before first payment.

5. Prohibited Activities

You may not:

  • self-refer - purchase a subscription through your own affiliate link or any account you control;
  • bid on Streams Charts brand terms or trademarks in paid search without prior written permission;
  • use cookie stuffing, forced clicks, or other technical means to artificially generate tracking events;
  • use deceptive, misleading, or manipulative marketing practices;
  • misrepresent your relationship with Streams Charts or claim to be an official representative;
  • violate any applicable law, including data protection or anti-spam rules.

Violations may result in immediate termination, forfeiture of all pending commissions, and legal action.

6. Intellectual Property

We grant you a limited, non-exclusive, non-transferable, revocable license to use our trademarks and approved marketing materials solely to promote Streams Charts under this Program. You may not modify our trademarks, register domains or accounts using our trademarks, or imply any endorsement beyond the Program. All intellectual property in the platform and materials remains exclusively with Streams Charts.

7. Independent Contractor

You are an independent contractor. Nothing in these Terms creates an employment, agency, partnership, or fiduciary relationship. You have no authority to bind Streams Charts or ESM.ONE INC in any obligation.

8. Termination

Either party may terminate at any time by written notice (your notice to: [email protected]). On termination, you must immediately cease using affiliate links and marketing materials. Commissions earned on completed, non-refunded transactions for periods ending before the termination date will be paid per the standard schedule. We may terminate immediately for fraud, material breach, or conduct harmful to Streams Charts.

9. Disclaimer and Limitation of Liability

The Program is provided "as is" with no guarantees as to earnings or availability. Neither Streams Charts nor ESM.ONE INC is liable for indirect, incidental, or consequential damages arising from your participation. Our total liability to you shall not exceed commissions paid to you in the three months preceding the event giving rise to the claim.

10. Indemnification

You agree to indemnify and hold harmless Streams Charts, ESM.ONE INC, and their officers, directors, and employees from any claims, damages, and expenses (including reasonable attorneys' fees) arising from your breach of these Terms, your promotional activities, or your violation of any law or third-party rights.

11. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, USA. Disputes not resolved by good-faith negotiation within 30 days of written notice shall be resolved by binding AAA arbitration conducted in English. Either party may seek injunctive relief in a court of competent jurisdiction.

Note: The Streams Charts platform is separately subject to the Platform Terms of Use at streamscharts.com/terms, which you also agree to by participating in the Program.

12. Changes to Terms

As this is a Beta launch, we reserve the right to change the Program rules, commission rates, or eligibility criteria at any time. For material changes (including commission rates or payment terms), we will provide at least 7 days' advance notice by email and/or via the partner dashboard. Continued participation after the effective date constitutes acceptance. Non-material changes (corrections, clarifications) take effect upon publication.

13. General

  • Entire Agreement. These Terms constitute the entire agreement regarding the Program and supersede all prior discussions or agreements.
  • Severability. If any provision is unenforceable, the remaining provisions remain in effect.
  • No Waiver. Failure to enforce any provision is not a waiver of future enforcement.
  • No Assignment. You may not assign your rights without our prior written consent. We may assign freely.
  • Language. The English version of these Terms prevails over any translation.
